Our transactional experience in capital markets include advising clients in relation to different types of securities structuring and transactions. Our lawyers have advised on a full range of securities activities ranging from initial public offerings, private placements and bonds and commercial papers issuances.

Banking and Finance

Our Firm provides legal advise to clients relative to Philippine corporate law and securities regulation with particular emphasis on compliance with the requirements imposed by the Philippine Securities and Exchange Commission, Bureau of Internal Revenue, and other relevant government agencies exercising supervisory control over our clients’ business operations.  GCF also provides advisory services with respect to business concerns involving social security, labor relations and other regulatory issues. On occasion, members of our Firm also act as representatives of clients to the governing boards of companies where they maintain business interests and/or as Corporate Secretaries thereof.

Business Restructuring

As part of our Firm’s banking and corporate law practice, we have experience in advising clients on all problems arising from troubled business enterprises.  Our lawyers have been involved in numerous restructurings, corporate rehabilitations and insolvencies in the Philippines, acting for borrowers, lenders and new investors.

Corporate and Commercial

Our lawyers have experience in mergers and acquisitions work particularly with respect to corporate takeovers, management buy-outs, and joint ventures.  With our team of specialized lawyers, we have the ability to assist Philippine and non-Philippine companies on all legal aspects of their business transactions.  We also have experience acting for clients in the acquisition of existing companies, enterprises, and interests in other Philippine businesses and in assisting our clients in conducting due diligence reviews.

Litigation and Dispute Resolution

In our more than 40 years of combined legal practice, members of our Firm have been representing clients in disputes arising under Philippine law before the Philippine Supreme Court, the Court of Appeals, other lower courts of justice, the National Labor Relations Commission, the Intellectual Property Office, the Securities and Exchange Commission and other quasi-judicial agencies.  With lawyers who are experienced in all aspects of litigation and dispute resolution matters, we are well placed to advise on issues arising from commercial, civil, torts and criminal matters.

Energy and Technology

Members of our Firm have spearheaded developments in the Philippine energy sector.  With our lawyers’ involvement in the privatization of the National Power Corporation as well as in the establishment of other energy-related businesses, we are poised to make use of this acquired experience in advising our clients in matters relating to the energy business, government regulation, project financing and financial restructuring.

Land Rights and Land Use

As a complement to our Firm’s general corporate law practice, our lawyers also handle land-related issues.  Among the matters which we frequently assist clients on are land acquisition and sale transactions, land development, land use litigation and land rights acquisition.  In the process of rendering services in the field of land use, we have had experience in dealing with government agencies particularly in the field of land titling, environmental compliance, land use patents, water rights and mining claims.
